1. Who we are

This website at frosted.co (the “Website”) is operated by Saifi Consulting Ltd, trading as Frosted (“Frosted”, “we”, “us” or “our”). Saifi Consulting Ltd is registered in England and Wales under company number 12931268. Our registered office is 71-75 Shelton Street, Covent Garden, London, England, WC2H 9JQ.

2. What these terms cover

These terms and conditions (“Terms”) govern your use of the Website. By accessing or using it, you agree to these Terms. If you do not agree, please do not use the Website.

The Website provides general information about Frosted and our retention marketing services, which include email and SMS programme management, lifecycle flow setup, retention-focused creative services and audits.

These Terms govern Website use only. They do not govern services we provide to clients. Client services are governed by the signed proposal, statement of work, master services agreement or other written service agreement agreed with that client. If these Terms conflict with a signed service agreement, the signed service agreement takes priority for the services it covers.

3. Information, enquiries and no offer

Website content is provided for general information only. It is not legal, financial or other professional advice, and it is not an offer capable of acceptance.

Submitting a contact form, audit request or other enquiry does not create a client relationship, require us to accept an engagement or form a contract for services. A contract for services is formed only when the relevant parties enter into a separate written agreement.

You are responsible for ensuring that information you submit is accurate and that you have authority to provide it.

4. Changes and availability

We may update these Terms by publishing a revised version on this page and changing the “Last updated” date. Please review this page periodically.

We may update, suspend, restrict or withdraw all or part of the Website without notice. We do not guarantee that the Website or any content on it will always be available, uninterrupted or error-free.

5. Acceptable use

You may use the Website only for lawful purposes. You must not:

  • breach any applicable law or regulation;
  • attempt to gain unauthorised access to the Website, its server or any connected system or database;
  • introduce viruses, trojans, worms, logic bombs or other harmful material;
  • carry out or assist a denial-of-service attack or otherwise disrupt or damage the Website;
  • use automated tools to scrape, extract or harvest Website content at a rate or in a manner that places an unreasonable burden on our systems, except for standard, well-behaved search engine indexing;
  • submit false, misleading, abusive or spam content through our forms; or
  • use the Website to infringe the rights of Frosted or any third party.

We may suspend or block access where we reasonably believe these Terms have been breached.

6. Intellectual property

Unless stated otherwise, we or our licensors own the intellectual property rights in the Website and its content, including its text, graphics, designs, photographs, videos, logos and case studies. Those rights are protected by copyright, trade mark and other intellectual property laws.

You may view the Website, temporarily cache pages in your browser and print or download reasonable extracts for your own internal, non-commercial use. You must not, without our prior written consent, republish, sell, license, commercially exploit, modify or remove proprietary notices from Website content.

You may link fairly and lawfully to our home page, provided the link does not suggest an association, approval or endorsement that does not exist, damage our reputation or frame the Website on another site. We may withdraw linking permission where reasonably necessary.

7. Client names, trade marks and third-party material

The Website may identify clients and other third parties through names, logos, trade marks, testimonials and portfolio or case-study material. Those names, logos and trade marks remain the property of their respective owners.

Their appearance does not grant you any right to use them and does not imply sponsorship or endorsement beyond the relationship described in the relevant content. If you believe material relating to you or your organisation appears in error or without appropriate authorisation, email [email protected] and we will investigate.

8. Case studies, testimonials and results

Case studies, testimonials, performance figures and similar content describe particular clients, circumstances and periods. They are illustrative only. Past performance does not guarantee future results.

Outcomes depend on factors including a brand’s products, audience, market, budget, existing systems, offer and execution. We do not promise that any visitor or client will achieve a particular revenue figure, return on investment or other result because it appears on the Website.

Testimonials reflect the views and experiences of the people or businesses identified and may be edited for length or clarity without changing their meaning.

9. Forms and confidential information

Email and ordinary web forms are not designed for highly sensitive information. Please do not submit passwords, API keys, payment credentials or other security-sensitive information through the Website. Once we are in direct contact, ask us for an appropriate secure method if sensitive material needs to be shared.

Submitting an enquiry does not, by itself, create a duty of confidentiality. Any confidentiality obligations must arise under a separate written agreement, such as a non-disclosure agreement or client services agreement.

The Website may contain links to, or content embedded from, third-party websites and services. We do not control those third parties and are not responsible for their availability, accuracy, security, content or privacy practices. A link does not necessarily mean that we endorse the third party. You use third-party websites and services at your own risk and subject to their terms and privacy notices.

Our Privacy Policy explains how we collect and use personal data submitted through the Website. The Website and embedded third-party services may use cookies or similar technologies. Any use of those technologies is subject to applicable privacy and electronic communications laws.   • we are not liable for loss or damage arising from your use of, inability to use, or reliance on the Website or its content; and
  • if you use the Website in the course of business, we are not liable for loss of profit, revenue, business, anticipated savings, opportunity or goodwill, or for indirect or consequential loss arising from Website use.

This section applies only to the Website. It does not change the liability terms in any signed client services agreement. If you are acting as a consumer, your statutory rights are not affected.

14. Ending or restricting access

We may restrict, suspend or terminate access to all or part of the Website if we reasonably believe you have breached these Terms or where necessary to protect the Website, Frosted or other users. Provisions which by their nature should continue after access ends—including those concerning intellectual property, disclaimers, liability and governing law—will continue to apply.

15. General terms

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect. A failure or delay by us in enforcing a provision is not a waiver of our right to enforce it later.

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

These Terms and our Privacy Policy form the entire agreement between you and us concerning use of the Website. They remain separate from any signed proposal, statement of work, master services agreement or other agreement governing client services.

16. Governing law and courts

These Terms and any non-contractual dispute arising from them are governed by the laws of England and Wales.

If you use the Website in the course of business, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may also have the right to bring proceedings in the part of the United Kingdom or other country where you live, and your mandatory local rights are not affected.
